Last Updated: 16 October 2026
Welcome to Distributor-Ship.com.
These Terms and Conditions (“Terms”) govern access to and use of the Distributor-Ship.com website, platform, and associated services (collectively, the “Platform”).
Distributor-Ship.com is a B2B business platform owned and operated by Cosmyra Technologies Private Limited (“Company,” “we,” “us,” or “our”). The Platform is intended to help businesses discover distribution opportunities, connect with potential business partners, publish business announcements, and communicate with other business participants.
By accessing, registering for, or using the Platform, you agree to these Terms and our applicable Privacy Policy and other policies published on the Platform. If you do not agree, you must discontinue use of the Platform.
1. Definitions
For these Terms:
- “Platform” means Distributor-Ship.com, its website, features, services, and associated digital interfaces.
- “User” means any individual or business accessing or using the Platform.
- “Business User” means a manufacturer, brand owner, distributor, stockist, super-stockist, wholesaler, retailer, or other business participant.
- “Content” means information, text, images, logos, documents, announcements, listings, messages, and other material submitted or published through the Platform.
- “Business Opportunity” means a distributorship, dealership, stockist appointment, wholesale opportunity, product launch, territory expansion, or similar business proposal.
- “Verified Badge” means a Platform designation indicating that specified identity and selected business documents have been reviewed under the applicable verification process.
2. Eligibility and Authority
You may use the Platform only if you are legally capable of entering into a binding agreement under applicable law.
If you register or act on behalf of a company, partnership, proprietorship, or other organization, you represent that you have the authority to act on its behalf.
You agree to provide accurate, current, and complete information during registration and when using the Platform. You must update information when it becomes materially inaccurate or outdated.
The Company may restrict access where eligibility, identity, authority, or compliance concerns arise.
3. Nature of the Platform
Distributor-Ship.com is designed to facilitate B2B discovery, business networking, distributorship opportunities, enquiries, and communication between businesses.
Depending on the features available to a User, the Platform may allow Users to:
- Create business profiles.
- Discover brands, manufacturers, distributors, and other business participants.
- Publish and browse distributorship or dealership opportunities.
- Submit and receive business enquiries or applications.
- Publish business announcements and participate in the B2B business feed.
- Follow businesses, comment on posts, and use available reactions.
- Communicate through supported messaging features.
- Use industry and location-based discovery or matching tools.
- Submit information for business verification.
The availability of any feature may depend on account status, eligibility, technical availability, or Platform policies.
Unless expressly stated otherwise in a separate written agreement, the Company does not become a party to commercial agreements negotiated between Users.
4. Independent Businesses and Commercial Relationships
Users operate independently and are responsible for their own business decisions.
Distributor-Ship.com does not, merely by listing or connecting Users, act as a manufacturer, distributor, franchise provider, commercial agent, legal representative, or guarantor of a User.
Users are responsible for independently evaluating business partners, including their identity, authority, financial position, products, licences, commercial terms, and ability to perform contractual obligations.
Any distributorship, dealership, supply, franchise, purchase, sale, or other commercial relationship formed through the Platform is between the relevant parties unless a separate written agreement expressly states otherwise.
The Company does not guarantee that a User will receive enquiries, secure a distributorship, obtain a business partner, generate revenue, or complete a transaction.
5. Account Registration and Security
Certain Platform features may require registration and authentication.
You are responsible for:
- Providing truthful registration information.
- Maintaining the confidentiality of your login credentials.
- Securing access to your account and devices.
- Promptly reporting suspected unauthorized access.
- Ensuring that individuals using an organizational account are authorized to do so.
- Keeping your account information accurate.
You must not share credentials in a manner that compromises account security, impersonate another person or business, or attempt to access another User’s account without authorization.
The Company may suspend or restrict accounts where misuse, unauthorized access, fraud, or security risks are reasonably suspected.
6. Business Verification and Verified Badges
The Platform may use automated checks and manual review to assess identity and selected business documents.
A Verified Badge indicates only that the specified verification process has been completed to the applicable extent. It does not constitute a guarantee of solvency, business quality, product authenticity, legal compliance, commercial performance, or future conduct.
Verification may be limited in scope and may become outdated when business circumstances change.
Users must not falsely claim to be verified, manipulate verification information, misuse another business’s identity, or display Platform verification marks without authorization.
Users should independently verify material information before entering into a commercial relationship.
The Company may request additional documentation, review previously verified information, remove a badge, or restrict an account when warranted by the circumstances and applicable policies.
7. Business Listings and Opportunities
Users who publish business profiles, distributorship opportunities, announcements, or other listings are responsible for ensuring that their Content is accurate, lawful, current, and not misleading.
Listings should clearly explain relevant commercial information, such as:
- The business or brand making the offer.
- The product or service category.
- The applicable territory, where relevant.
- Eligibility criteria and business requirements.
- Investment, fees, margins, or other commercial terms, where applicable.
- Relevant licences, authorizations, or qualifications.
- Any material limitations or conditions.
Users must not advertise fictitious opportunities, misrepresent available territories, publish unauthorized brand appointments, or make misleading claims about investment returns, profits, demand, or commercial success.
The Company may request corrections, supporting documentation, or clarification and may remove or restrict listings that violate these Terms or applicable policies.
8. User Content and Intellectual Property
Users retain ownership of Content they lawfully own or are authorized to publish, subject to the rights of third parties.
By submitting or publishing Content, you grant the Company a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display, distribute, and technically process that Content as reasonably necessary to operate, secure, maintain, and promote the Platform and provide the requested services.
This licence is limited by applicable law and the Privacy Policy. It does not transfer ownership of your trademarks, business identity, or other intellectual property to the Company.
You represent that you have the rights and permissions necessary to submit your Content and grant the licence described above.
You must not upload or publish Content that infringes intellectual property rights, violates confidentiality obligations, unlawfully discloses personal information, or violates applicable law.
The Company may remove Content in response to valid complaints, legal requirements, policy violations, or security concerns.
9. Acceptable Use
You must not use the Platform to:
- Commit fraud, deception, impersonation, or other unlawful acts.
- Publish false, misleading, or materially deceptive business information.
- Misrepresent business verification or authorization.
- Distribute malware, malicious links, or harmful files.
- Attempt unauthorized access to accounts, databases, APIs, or infrastructure.
- Scrape, harvest, or collect information in violation of applicable law or Platform restrictions.
- Send spam, abusive messages, or unsolicited communications in violation of applicable law or Platform rules.
- Harass, threaten, discriminate against, or unlawfully target another User.
- Publish unlawful, defamatory, infringing, or otherwise prohibited material.
- Circumvent security, moderation, verification, or access controls.
- Interfere with Platform operations or exploit technical vulnerabilities.
- Use the Platform to facilitate money laundering, prohibited transactions, or other unlawful commercial activity.
You must comply with applicable Indian laws and any other laws applicable to your use of the Platform.
10. Business Feed and Communications
The Platform may provide business announcements, comments, reactions, messaging, enquiry, and related communication features.
Users are responsible for Content they submit and communications they send.
You must not use these features to impersonate a business, distribute fraudulent offers, publish unlawful material, harass other Users, or repeatedly send unwanted communications.
The Company may moderate, restrict, hide, or remove Content and may limit communication privileges where necessary to enforce Platform rules, address reports, protect Users, or comply with applicable law.
The availability of messaging or a business enquiry does not establish that the other party is trustworthy or that a proposed transaction is safe.
11. Enquiries and Business Applications
Enquiries and applications submitted through the Platform are communications between prospective business partners.
Users are responsible for reviewing enquiries, responding appropriately, verifying counterparties, and agreeing on their own commercial terms.
The Company does not guarantee that enquiries are genuine, that applicants meet a business’s requirements, or that a recipient will respond.
Users must not use enquiry forms or application features to submit unlawful, misleading, abusive, or irrelevant material.
12. Payments and Commercial Transactions
This section must be finalized against the actual payment functionality available at launch.
The Platform may support or facilitate payment-related functionality. Where payments are available, the applicable transaction terms must clearly identify the payment recipient, payment service provider, fees, taxes, refund rules, cancellation rules, settlement timelines, and any applicable transaction protections before the User confirms payment.
Unless expressly stated in a separate written agreement or clearly disclosed checkout terms, the Company does not guarantee the performance of a commercial transaction between Users.
Users must review commercial terms before committing funds and retain relevant invoices, receipts, and transaction records.
The Company’s responsibility for payment processing, custody of funds, refunds, settlements, chargebacks, and payment disputes will be determined by the actual service arrangement, applicable checkout disclosures, and applicable law.
Nothing in these Terms excludes a responsibility that the Company cannot lawfully exclude.
Publication requirement: Do not publish this section as final until the Company confirms whether it directly processes, collects, holds, or settles business-to-business payments, or merely connects Users to a third-party payment provider. Add the corresponding payment, refund, cancellation, and dispute procedures.
13. Fees and Future Commercial Models
The Company may make core Platform features available without charge during an initial period.
The Company may evaluate future revenue models, including paid subscriptions, premium services, advertising, or other lawful commercial features.
Any fee applicable to a User must be communicated before the User becomes obligated to pay it. Changes to paid features will be governed by the applicable terms and disclosures.
The Company will not treat an unannounced future fee as an existing payment obligation.
14. Privacy and Personal Information
The Company’s collection and handling of personal information are described in the Privacy Policy.
Business contact information may be visible publicly or to other Users depending on the relevant profile settings and Platform features. Personal information and private account details should be handled according to applicable privacy controls and policies.
Users must not publish personal information about another individual without an appropriate lawful basis or required permission.
Users should not submit passwords, payment credentials, sensitive personal information, or confidential business documents through public posts or channels that are not intended to receive them.
By using the Platform, you acknowledge that information submitted through its features may be processed as described in the applicable Privacy Policy and notices.
15. Reporting, Moderation, and Complaints
Users may report suspected fraud, impersonation, misleading listings, prohibited Content, intellectual property violations, or other misuse through the reporting mechanisms made available by the Company.
The Company may investigate reports, request supporting information, restrict Content, suspend accounts, or take other reasonable measures consistent with applicable law and Platform policies.
The Company may not identify the reporting party to the reported User where confidentiality is appropriate or legally required.
The submission of a report does not guarantee a particular outcome. Users must provide accurate information and must not knowingly submit malicious or false reports.
16. Third-Party Services and Links
The Platform may link to or integrate with third-party websites, payment providers, authentication providers, communication services, or other services.
Third-party services may have their own terms, privacy notices, and operating requirements.
The Company does not control independent third-party services and is not responsible for their content, availability, policies, or conduct, except to the extent required by applicable law or expressly agreed in writing.
Users should review the applicable third-party terms before using those services.
17. Intellectual Property of the Company
The Platform’s software, design, branding, logos, original text, and other materials owned or licensed by the Company are protected by applicable intellectual property laws.
Except as expressly permitted by law or authorized in writing, you must not reproduce, distribute, modify, reverse engineer, sell, or commercially exploit protected Platform materials.
Nothing in these Terms grants a User ownership of the Company’s trademarks, software, or other proprietary assets.
18. Availability and Changes to the Platform
The Company may maintain, update, improve, suspend, or discontinue Platform features as reasonably necessary for business, operational, technical, legal, or security reasons.
The Company does not guarantee uninterrupted, error-free, or continuous availability.
Where reasonably practicable, the Company may provide notice of material changes that affect Users. Certain changes may need to be implemented immediately to address security risks, abuse, or legal requirements.
The Company will handle material changes in accordance with applicable law and any specific contractual commitments.
19. Suspension and Termination
The Company may suspend, restrict, or terminate access where reasonably necessary because of suspected fraud, unlawful activity, material violation of these Terms, security threats, misuse of verification, or other legitimate Platform-protection reasons.
Where appropriate and legally permitted, the Company may provide notice and an opportunity to address the issue.
Users may stop using the Platform and may request account closure through the available account settings or support channels.
Termination does not automatically cancel obligations already incurred, resolve outstanding transactions, or eliminate record-retention obligations imposed by law.
The Company may retain or process information where necessary for legitimate operational purposes, dispute resolution, security, legal compliance, or other purposes described in the Privacy Policy.
20. Disclaimers
To the extent permitted by applicable law, the Platform is provided on an “as available” basis.
The Company does not warrant that every listing is accurate, every User is trustworthy, every business opportunity is genuine, or every commercial transaction will succeed.
A verification badge, search result, recommendation, matching result, listing, or business announcement should not be treated as a guarantee of commercial suitability or financial performance.
Users must conduct their own due diligence and obtain independent professional advice where appropriate.
Nothing in these Terms excludes warranties, rights, or remedies that cannot lawfully be excluded under applicable law.
21. Limitation of Liability
To the extent permitted by applicable law, the Company will not be liable for indirect, incidental, special, consequential, or punitive losses arising from use of the Platform, including loss of profits, business opportunities, reputation, or data, where such exclusions are legally enforceable.
The Company’s liability for direct loss, where legally permitted to be limited, will be subject to the limitations and exceptions established by applicable law and any separately agreed contractual terms.
Nothing in this section excludes or restricts liability where such exclusion or restriction is prohibited by law, including any liability that cannot lawfully be limited.
Publication requirement: Have Indian legal counsel finalize the scope, exclusions, monetary cap (if appropriate), and consumer or business-user protections before publication.
22. Indemnity
To the extent permitted by applicable law, a User may be responsible for losses, claims, liabilities, and reasonable costs arising from that User’s unlawful conduct, infringement of third-party rights, material breach of these Terms, or misuse of the Platform.
Any indemnity under this section is subject to applicable law and does not eliminate rights or remedies that cannot lawfully be excluded.
23. Governing Law and Disputes
These Terms are intended to be governed by the laws of India, subject to applicable mandatory legal requirements.
The parties should first attempt to resolve disputes through good-faith communication using the Company’s published contact channels.
If a dispute cannot be resolved informally, it may be referred to the competent courts or other dispute-resolution forum determined by applicable law.
Open decision: The Company must confirm its preferred and legally appropriate jurisdiction, dispute-resolution procedure, and whether any arbitration clause is intended. Do not insert an unconfirmed city, court, or arbitration mechanism.
24. Changes to These Terms
The Company may update these Terms to reflect changes in the Platform, business operations, applicable law, or security requirements.
The revised version will be published with an updated “Last Updated” date. Where required by law or appropriate in the circumstances, the Company will provide additional notice.
Continued use of the Platform after revised Terms take effect will be subject to applicable legal requirements concerning notice and acceptance.
